ARTICLE I – NAME

The name of this organization shall be the High Point Urban Area Metropolitan Planning Organization Transportation Advisory Committee, hereinafter referred to as the TAC.

ARTICLE II – PURPOSE

The purpose and goals of this committee shall be to:

  • take an active role in providing leadership and guidance in the transportation planning process by meeting on a regularly scheduled basis.
  • provide a forum for local elected officials to discuss transportation problems.
  • coordinate transportation planning activities of the various governmental units and agencies involved in the planning process and keep respective governing boards informed of the transportation planning activities.
  • establish goals and objectives for the transportation planning process.
  • establish and ensure a meaningful procedure for citizen participation.
  • participate in considering alternative transportation plans and finally adopt a transportation plan for the area.
  • develop a short-range (6 years) metropolitan transportation improvement program (MTIP) for the area.
  • develop and approve annually a transportation planning work program (PWP) for the area.
  • develop, approve, and keep current a prospectus for the area, which defines work tasks, and responsibilities for the various agencies participating in the transportation planning process.
  • annually review and certify the transportation planning process.
  • review and approve air quality finding that the transportation plan and the MTIP are in compliance with the North Carolina Air Quality Implementation Plan.
  • develop, approve, and keep current the National Highways System (NHS), Surface Transportation Program (STP), Urban Area Boundary (UAB) and the Metropolitan Area Boundary (MAB).
  • approve land use projections for use in developing the transportation plan.
  • designate a Lead Planning Agency (LPA) for receiving transportation planning funding and transit funds.

ARTICLE III – MEMBERS

Section 1 – Membership:

As specified in the Memorandum of Understanding, the Transportation Advisory Committee shall include elected officials from local and State governmental agencies directly related to and concerned with the transportation planning process for the planning area. The initial voting membership shall include, but not be limited to, the following:

  • High Point City Council
  • Archdale City Council
  • Jamestown Town Council
  • Thomasville City Council
  • Trinity City Council
  • Davidson County Board of Commissioners
  • Guilford County Board of Commissioners
  • Randolph County Board of Commissioners
  • NCDOT Board Member (Division 7)
  • NCDOT Board Member (Division 8)
  • NCDOT Board Member (Division 9)
  • Federal Highway Administration, North Carolina Division Administrator (non-voting)
  • Wallburg Town Council
  • Forsyth County Board of Commissioners

Section 2 – Appointment, Qualification, and Terms of Office:

The governing body of the member agency shall select a member to serve on the TAC. The governing body may remove the member as a TAC representative at their discretion.

If the member is an elected official, that official’s term of office on the TAC shall automatically expire upon the member leaving elected office. If the official is an appointed official, the term of office shall automatically expire upon that member leaving the appointed office.

Section 3 – Alternates:

Each member agency may appoint an alternate to its representative provided each alternate also meets the same qualifications of membership. That alternate member may serve as a full voting member during any meeting where that board’s representative is not in attendance. Proxy and absentee voting are not permitted.

ARTICLE IV – OFFICERS

Section 1 – Officers Defined:

The officers of the TAC shall consist of a Chair and Vice-Chair, to be elected by a majority vote of those present and voting.

Section 2 – Elections:

The Chair and Vice-Chair shall be elected annually at the first regularly scheduled meeting of the calendar year. The newly elected Chair and Vice-Chair shall take office immediately following the election.

Section 3 – Terms of Office:

The term of office for officers shall be one year. Officers may serve successive terms. Each officer shall hold office until his/her successor shall have been duly elected or until his/her death, resignation, disqualification, incapacity to serve, or removal in accordance with the law.

Section 4 – Duties of Officers:

The Chair shall preside at all meetings and shall sign official documents of the TAC. In the absence of the Chair, the Vice-Chair shall preside and fulfill all duties of the Chair.

In the absence of the Chair and Vice-Chair, those present shall elect a Chair Pro Tem.

The administrative coordination for the TAC will be performed by a Coordinator for Transportation Planning who shall report to the High Point Director of Transportation. The Coordinator for Transportation Planning is responsible for the minutes and agendas of the meetings, as well as all duties as detailed in the Memorandum of Understanding.

ARTICLE V – MEETINGS

Section 1 – Regular Meetings:

Meetings will be held monthly on the fourth Tuesday of the month. Meeting notices and agendas are to be mailed in sufficient time for them to have been received by each committee member no later than seven (7) days prior to the meeting date. Unless otherwise stated, all meetings will begin at 10:00 A.M. Regular meetings may be canceled by the Chair should there be insufficient business on the Committee’s tentative agenda.

Section 2 – Special Meetings:

Special meetings may be called by the Chair, or at the request of the eligible voting members petitioning the Chair. Whenever possible, at least seven (7) days notice shall be given.

Section 3 – Workshops:

The TAC may choose to hold workshops from time to time. No official action may be taken at a workshop. A quorum shall not be necessary for conducting a workshop. However, all workshops shall be noticed in the same manner as regular meetings of the TAC.

Section 4 – Quorums:

A quorum must be present at all meetings other than workshops. A quorum shall be constituted by the presence of at least fifty-percent (50%) of the eligible voting members at the beginning of the meeting.

Section 5 – Attendance:

Each member shall be expected to attend each regular meeting and each special meeting provided at least seven (7) days notice is given.

Voting members (or their authorized alternates) not attending three (3) consecutive meetings will be considered non-voting members for the purpose of determining a quorum as of the third meeting. A member’s or alternate’s voting privileges will be reinstated automatically by his/her attendance at a later TAC meeting.

A majority of the TAC may recommend the removal from membership of any member who fails to attend, or make arrangements for an alternate to attend, five or more meetings in a one-year period. Such recommendations shall be forwarded to the appointing agency or governmental unit.

Section 6 – Agenda:

The agenda is a list of considerations for discussion at a meeting. Any member of the TAC can place items on the agenda prior to its distribution. Additional items may be placed on the regular agenda following discussion of the last item on the regular agenda, as long as a majority concurrence of the present and eligible voting members is received.

Section 7 – Voting Procedures:

The Chair may call for a vote on any issue, provided that it is seconded and within the purposes set forth in Article II and provided the issue is on the agenda as outlined in Section 6 of this article. Each voting member of the TAC shall have one vote. A majority vote of the members (or their authorized alternates) present and eligible to vote shall be sufficient for approval of matters coming before the Committee. The Chair is permitted to vote. Abstentions shall be considered affirmative votes. By approval of the TAC, a member may withdraw from voting on an issue. In the absence of any direction from these Bylaws or other duly adopted voting procedures pursuant to certain approval actions, Robert’s Rules of Order will designate procedures governing voting.

ARTICLE VI – AMENDMENTS TO BYLAWS

Amendments to these Bylaws of the TAC shall require the affirmative vote of at least two-thirds of the TAC’s eligible voting members, provided that written notice of the proposed amendment has been received by each member at least seven (7) days prior to the meeting at which the amendment is to be considered and provided that such amendment does not conflict with the letter or fundamental intent of the Memorandum of Understanding governing this document. In the event of any conflict, the Memorandum of Understanding shall carry precedence over these Bylaws.

The High Point Urban Area Metropolitan Planning Organization Transportation Advisory Committee approved these Bylaws on March 20, 2001.
